As used in these Terms of Service, the “website” or “site” means www.biz234.com, “we”, “us”, “our” and “Biz234” means BIZ TWO THREE FOUR LTD registered with Nigeria's Corporate Affairs Commission with Registration Number 1915503 and “you” means the site User (if registering for or using the site as an individual), or the business employing the site User (if registering for or using the site as a business) and any of its affiliates.

By signing up for an Account on the website or by using any Biz234 Service, you are agreeing to be bound by the following terms and conditions (the “Terms of Service”).

Under these Terms of Service, Biz234 offers products and services that enable you to manage your business activities, build your own store and sell to customers. New features which are added at a latter date will also be subject to this Terms of Service.

1. Account Terms
Biz234 retains the right to reject an application for an account or cancel and deactivate an existing account at our sole discretion.
You acknowledge that you are at least of the age of majority in the jurisdiction where you reside and from which you open an Account on the website.

You acknowledge that we will use the email address you provide on opening an Account or as updated by you later as the primary method for communication with you.

You are responsible for keeping your password secure. Biz234 cannot and will not be liable for any loss or damage from your failure to maintain the security of your Account and password.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of, use of, or access to Biz234 without our express written permission.

You agree not to work around, bypass, or circumvent any of the technical limitations of the Services, use any tool to enable features or functionalities that are otherwise disabled in the Services, or decompile, disassemble or otherwise reverse engineer the website.

You are responsible for your Account, the Materials you upload to the site and the operation of your Store. If you violate our terms of service we may cancel or deactivate your account. If we need to reach you, we will communicate via the email address you provided.

2. Account Activation
After you fill our signup form you will be redirected to activate your account. If you do not activate your account after 168 hours (a week), we retain the right to delete your account.

3. Payments
We offer users of the website the option to receive payments from their store orders, invoices and POS. These payments are made possible via payment processors which we interface with.
By setting up a payment gateway, you are agreeing to the terms of the payment gateway.
We are not responsible for the transactions or reliability of these payment processors.
We reserve the right to keep our interface with a payment processor active or not.

4. Updates
We retain the right to remove, add or make changes to the features or services we offer and the pricing of our services without any notice to you.

5. Responsibilities
You are responsible for your account on the site and all activities carried out in it, the goods or services you sell, and your relationship with your customers. This includes but is not limited to delivery of your products and charging the necessary taxes in your jurisdiction.

6. DMCA Notice
We respect the rights of individuals or organizations to their works, If we receive a DMCA complaint, we may remove the infringing item from your inventory. Once provided with a notice of takedown, you can reply with a counter notification via email. The original complainant has 14 business days after we receive a counter notification to seek a court order restraining you from engaging in the infringing activity, otherwise we restore the item.

7. Privacy And Data Protection
Biz234 is firmly committed to protecting the privacy of your personal information and the personal information of your customers. By using our service, you acknowledge and agree that our collection, usage and disclosure of this personal information is governed by our Privacy Policy.

9. Termination
These terms of service will cease to apply the moment your account is terminated.
You may terminate your account by contacting support. We may terminate your account at any time without prior notice.
Once your account is terminated by either party, we will no longer provide you with our services, and you will no longer be able to access you account. You will not be entitled to any refund.

10. Summary
This agreement comprises the entire agreement between Biz234 and you and supersedes any prior agreements with respect to the subject matter herein. We may revise this agreement or any other policy at any time and from time to time. You agree to review this agreement periodically to be aware of such revisions. If any such revision is unacceptable to you, you must discontinue accessing our site.

Your continued accessing and use of the our site following notice of any such revision shall conclusively be deemed acceptance of all such revisions.

The failure of Biz234 to exercise or enforce any right or provision of the Terms of Service will not constitute a waiver of such right or provision.

The Terms of Service will be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, without regard to any conflicts of international laws or cross-border domestic laws/statutes that would otherwise apply the substantive law of another jurisdiction.
